Terms and Conditions
Australia & New Zealand

All Great Place to Work (GPTW) orders are final and binding once accepted by the Customer and have a fixed one-year term commencing on the Effective Date. During this period, the Customer must utilise all included components as detailed in the Order Form, which may include surveys, report packages, online data analytics, and manager access. No refunds will be provided once the Order Form has been executed.

Access to the Emprising survey platform is valid for one (1) year from the date on which access credentials are first granted. Depending on the Services purchased, additional fees may be payable where the Customer requests changes to employee counts (per country or otherwise), variations to delivery dates, or additional work outside the scope of the Order Form (including the completion of security questionnaires, vendor registration forms, or other compliance documentation). GPTW will notify the Customer in advance if additional fees are to apply, and such fees will only be incurred with the Customer’s agreement, with invoices issued accordingly.

Participation Only Tier

If the Customer is purchasing Services under the “Participation Only” Tier, the Customer must launch its survey within three (3) months of the Effective Date of the Agreement. Where the Customer is participating in a data partnership, the Customer will have a period of twelve (12) months from the Effective Date in which to launch its survey.

Culture Coaching Scheduling Policy (if applicable)

Where the Customer’s package includes a Culture Coaching session with GPTW ANZ’s consultants:

(a) Scheduling Attempts. GPTW ANZ will contact the Customer on up to three (3) separate occasions following the close of the survey to arrange the session. If the Customer does not respond within seven (7) days of the third contact attempt, GPTW ANZ will deem the session to be forfeited and no refund or credit will be provided.

(b) Timeframe. All Culture Coaching sessions must be held within three (3) months of the survey close, in order to ensure the relevance and freshness of the survey results. If the Customer is unable to schedule the session within this period, GPTW ANZ will instead provide the Customer with a recording that may be viewed at the Customer’s convenience.

(c) Cancellations and Rescheduling. The Customer must provide at least seventy-two (72) hours’ notice of any cancellation or rescheduling of a confirmed session. This requirement is necessary as GPTW ANZ consultants prepare in advance and allocate time that cannot be offered to other clients once scheduled.

(d) Late Rescheduling Fee. If the Customer requests to reschedule a session within seventy-two (72) hours of the scheduled time, a rescheduling fee of AUD $500 will apply. In such cases, GPTW ANZ may alternatively provide a recording of the session for the Customer to view.

Multi-Year Agreements

(a) Binding Commitment. Multi-year agreements entered into under this Agreement are final and binding for the duration of the commitment (for example, three (3) years). GPTW ANZ will issue an invoice for each subsequent year of the commitment at the same time each year, unless otherwise stated in the relevant Work Order.

(b) Early Termination Fee. If the Customer terminates a multi-year commitment prior to the expiry of its agreed term (other than where termination is expressly permitted under this Agreement), the Customer must pay to GPTW ANZ an amount equal to fifty percent (50%) of the fees that would have been payable for the unexpired portion of the commitment. The parties acknowledge that this amount represents a genuine pre-estimate of GPTW ANZ’s loss arising from early termination and is not a penalty.

(c) Staff Growth Re-quoting. If the Customer’s staff count increases by more than fifty percent (50%) during the term of the multi-year agreement, GPTW ANZ reserves the right to issue a revised quotation for services for the following year, to ensure that pricing reflects the increased scale of services required.

Technology and Partnership

The Customer acknowledges and agrees that its purchase and use of the services described in this Order Form (the Principal Agreement) are governed by:

(a) this Order Form;

(b) the Great Place to Work Australia and New Zealand Pty Ltd Master Service Agreement (MSA); and

(c) the additional terms and policies referenced therein, including without limitation the Security Policy published at GPTW External Security Policy and the Certification and List Terms published at Certification and Lists Terms,

which collectively address matters including confidentiality, ownership of data and intellectual property, data privacy, and security as at the Effective Date.

GPTW ANZ warrants and represents that, as at the Effective Date, it complies with recognised industry standards including:

  • CPA-audited financial statements;
  • Security Operations Center (SOC) 2 reporting under the Statement on Standards for Attestation Engagements (SSAE) 18;
  • International Organisation for Standardisation (ISO) 27001:2013 and ISO 9001:2015; and
  • National Institute of Standards and Technology (NIST 2015) cybersecurity framework.

GPTW ANZ is also certified under the Privacy Shield and through the International Association of Privacy Professionals (IAPP).

If the Customer requires GPTW ANZ to:

  • consider amendments to the MSA;
  • review a different form of customer agreement or security survey; or
  • provide certificates of insurance beyond those ordinarily available,

the Customer agrees to pay GPTW ANZ’s additional charges for such services at a rate of $150 per hour (or such other rate as expressly agreed in writing in the applicable Work Order).

All fees are earned in advance and are non-refundable. Services provided under this Order Form are deemed accepted upon execution of the Order Form. GPTW ANZ reserves the right to discontinue or replace services with alternatives of comparable value, or to offer pro-rata refunds where such alternatives are not reasonably available.

Each person signing this Order Form represents and warrants that they have full authority to execute the Order Form on behalf of the Customer and that the Customer has read, understood, and accepts all of the terms of the Agreement.

PAYMENT TERMS

All Great Place to Work (GPTW) orders are final and binding once executed by the Customer and will have a one (1) year term commencing on the Effective Date. During this period, the Customer must utilise all included components specified in the relevant Order Form, which may include surveys, report packages, online data analytics, and manager access.

All fees are earned in advance and non-refundable. No refunds or credits except where required by law or expressly agreed in a Work Order.

Unless otherwise specified in the applicable Work Order, all subscription fees are payable in full, upfront, at the commencement of the relevant subscription period. Payment obligations are further governed by, and must be read together with, clause 5 (Fees, Invoicing, Taxes and Currency) of the Master Services Agreement.

Depending on the Services purchased, additional fees may apply if:

(a) the Customer requests changes to employee counts (including per-country adjustments);

(b) delivery dates are varied at the Customer’s request; or

(c) the Customer requests additional work beyond the scope of the Order Form, including the completion of security questionnaires, vendor registration forms, or other compliance documentation.

Where such additional fees apply, GPTW will notify the Customer in advance, and the Customer will be invoiced accordingly.
